Expertise:

Andrea de Santis is a corporate/M&A lawyer with substantial experience in assisting national and foreign clients in structuring, negotiating and implementing domestic and cross-border mergers and acquisitions (both asset and share deals), joint ventures and restructurings. He also advises on general corporate and corporate governance matters and assists clients in all labour law aspects related to corporate transactions. Mr. de Santis has also a vast experience in real estate transactions (acquisition, sale and lease of important real estate complexes), insolvency proceedings and commercial litigations.

Prior to forming DDPV Studio Legale in 2015 as a founding partner, Mr. de Santis was a corporate/M&A partner of an independent Italian international law firm and, prior to it, of an international US law firm.

Mr. de Santis’ significant transactions include, amongst others:

  • A world-leader in metal fabrication, component manufacturing and related engineering in a Euro 500 million pan-European acquisition of an Italian company, world leader in the production, sale and commercialization of equipment for the treatment and the regeneration of gas and/or refrigerants;
  • A German private equity fund with respect to all Italian corporate aspects of its Euro 1 billion acquisition of the pan-European vending business of the world’s largest catering group;
  • One of the world’s largest energy corporation in the acquisition of an Italian company operating in the gas/energy sector;
  • One of the world’s leading suppliers of poultry meat breeding stock, in respect of the acquisition of an Italian company operating in the food sector;
  • A world’s leading manufacturer of high-quality cocoa and chocolate, in respect of the acquisition of an Italian company operating in the food sector;
  • A world leader in the production of specialized products and solutions used to heat, cool, separate and transport products in connection with several corporate acquisitions and divestitures in the Italian market;
  • A leading multinational, leader in the production of digital cameras and medical imaging devices, in connection with its entry into the Italian distribution market;
  • European’s largest media communication group, in two key Italian acquisitions designed to reinforce its offer in digital and healthcare communication services;
  • A world leader in the delivery of electronics manufacturing services in relation to different collective dismissal procedures, involving, inter alia, the closure of an industrial plant in Italy;
  • Foreign banks/financial institutions in connection with one of the most relevant Italian insolvency proceeding.
